Terms of Service

These terms are a plain-language summary of how the service works and what each side is responsible for. They have not yet been reviewed by counsel and should be treated as a working draft rather than a final agreement. If you need signed contractual terms before integrating, contact us.

1. The service

Sync-Convert provides foreign exchange and cryptocurrency reference rates through a REST API and, on eligible plans, a WebSocket stream. Access requires a valid API key issued to your account.

2. Rates are reference data, not advice

Rates supplied are interbank mid-market reference figures for informational purposes. They are not an offer to transact, not a quote you can execute against, and not financial advice. Actual rates available to you from a bank or broker will differ, typically by that provider's spread.

You are responsible for deciding whether a rate is sufficiently fresh for your use case. Every response includes as_of, age_ms and stale precisely so that this decision can be made programmatically.

3. Your licence to use the data

Your plan grants a non-exclusive, non-transferable right to use the rates within your own applications and to display them to your own end users.

It does not grant the right to resell, sublicense or redistribute the raw rate data as a data product of its own, nor to share your API key with third parties. If your use case involves onward redistribution, it needs a separate agreement — talk to us and we will sort it out properly rather than leave it ambiguous.

4. Fair use and quotas

Each plan includes a monthly allowance of call credits. Endpoints are weighted by the work they require, so a single rate lookup and a multi-year time series do not cost the same. Current weights are published in the documentation.

Metered plans continue serving beyond the included allowance and bill overage per credit, itemised on your next invoice. The Demo plan is hard-capped and stops rather than charging you. Per-second rate limits apply on top of the monthly allowance to protect the service.

5. Billing

Paid plans are billed monthly or annually in advance. Annual billing is discounted 20%. You can switch between intervals at any time and the change is prorated.

If we change list prices, existing subscriptions keep the pricing they were created on. We do not force upgrades and we do not reprice you retroactively.

If payment fails, API access is suspended rather than cancelled and your data is retained so you can resume by updating your payment method.

6. Demo access

Demo keys are issued at our discretion following review of a request, include a fixed credit allowance, and expire 30 days after issue. They are intended for evaluation and may be revoked at any time.

7. Availability

We aim for continuous availability but do not offer a contractual uptime guarantee except on Enterprise plans, where a 99.9% monthly target applies with service credits for shortfalls, measured against the public status endpoint.

Scheduled maintenance is announced in advance. Degradation of an upstream data source is surfaced through the stale and source_tier fields rather than hidden.

8. Liability

The service is provided as-is. We are not liable for losses arising from reliance on the rates, including trading losses, pricing errors or currency conversion differences. Our aggregate liability is limited to the fees you paid in the twelve months preceding the claim.

9. Termination

You may cancel at any time; access continues to the end of the paid period. We may suspend or terminate accounts that breach these terms, particularly the redistribution restrictions in section 3, or that place the service at risk.

10. Changes

We will give at least 30 days' notice of material changes to these terms by email to account owners. Continued use after that period constitutes acceptance.
